Understanding these Terms and your obligations

Welcome to Flexicartor, a global multi-category online marketplace platform operated by Flexicartor Private Limited (CIN: U46901WB2025PTC281427). By accessing, browsing, or using the Platform (website, mobile application, or any associated services), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use the Platform.

1. Definitions

Key terms used throughout this agreement

For the purposes of these Terms and Conditions, the following definitions shall apply unless the context requires otherwise:

  • "Platform" refers to the Flexicartor website (www.flexicartor.com), mobile applications, APIs, and all associated digital services, tools, and features operated by Flexicartor Private Limited.
  • "Marketplace" refers to the online multi-category marketplace facilitated by the Platform, enabling transactions between independent third-party Sellers and Buyers. The Marketplace is a technology platform and not a retailer, reseller, or vendor of any products or services.
  • "Seller" refers to any individual, sole proprietorship, partnership, company, or other legal entity that has registered on the Platform to list, advertise, offer for sale, and sell products or services to Buyers through the Marketplace.
  • "Buyer" refers to any individual or entity that accesses the Platform to browse, search, purchase, or otherwise acquire products or services offered by Sellers through the Marketplace.
  • "Products" refers to all physical goods, items, merchandise, and tangible products listed, offered for sale, and sold by Sellers on the Marketplace.
  • "Services" refers to any digital products, subscriptions, professional services, or intangible offerings listed and provided by Sellers through the Marketplace.

Additional terms such as "User" (any person accessing the Platform), "Content" (any text, images, videos, reviews, or other material posted on the Platform), "Order" (a confirmed purchase transaction), and "Account" (a registered user profile) shall carry their commonly understood meanings.

2. Nature of Platform

Understanding Flexicartor's role as a marketplace

IMPORTANT NOTICE: Flexicartor is a technology-driven online marketplace platform that facilitates transactions between third-party sellers and buyers. Flexicartor does NOT own, sell, resell, manufacture, store, or fulfill any products listed on the Platform. All products are listed, sold, and fulfilled by independent third-party sellers.

The Platform operates strictly as an intermediary technology marketplace that connects Buyers with independent third-party Sellers. Flexicartor provides the technological infrastructure, tools, and services necessary to enable these commercial transactions but does not participate in the actual sale, purchase, manufacture, storage, shipping, delivery, or fulfillment of any Products or Services listed on the Platform.

The role of Flexicartor is limited to:

  • Providing a technology-driven platform and digital infrastructure where Sellers can list, display, and offer their Products and Services for sale to prospective Buyers across multiple categories and geographies.
  • Facilitating the discovery of Products and Services by Buyers through search, browsing, filtering, recommendation algorithms, and other technological tools.
  • Enabling secure payment processing through licensed and regulated third-party Payment Aggregators (PAs) in compliance with applicable laws, including RBI guidelines.
  • Providing communication channels between Buyers and Sellers for order-related queries, dispute resolution, and customer support.
  • Offering tools and analytics for Sellers to manage their listings, inventory, orders, and business performance on the Platform.
Clarification: The contract for sale of any Product or Service is strictly between the Buyer and the Seller. Flexicartor is not a party to such transaction and shall not be deemed as the seller, manufacturer, or provider of any Product or Service listed on the Platform.

3. Role of Flexicartor

Our function as intermediary and marketplace facilitator

Flexicartor functions exclusively as an intermediary and marketplace facilitator. The Platform's role is clearly defined and limited to the following functions:

3.1 Intermediary / Marketplace Operations

Flexicartor acts as an intermediary platform under the provisions of the Information Technology Act, 2000, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended).

  • Flexicartor does not initiate, select, or modify the information or content provided by Sellers on the Platform.
  • Flexicartor does not exercise editorial control over Product listings, descriptions, prices, or representations made by Sellers, beyond enforcing its listing policies and community guidelines.
  • All Product information, including descriptions, images, specifications, pricing, availability, warranties, and offers, is provided by the respective Sellers and is the sole responsibility of such Sellers.

3.2 Payment Facilitation

Flexicartor facilitates payment processing for transactions on the Platform through licensed Payment Aggregators (PAs) authorized by the Reserve Bank of India (RBI) and/or equivalent regulatory bodies.

  • All payments made by Buyers are processed through Razorpay and/or other RBI-licensed Payment Aggregators integrated with the Platform.
  • Flexicartor does not directly collect, hold, or process Buyer payments. All funds are routed through compliant escrow/nodal accounts maintained by licensed Payment Aggregators.
  • Seller settlements are processed by the Payment Aggregator after confirmation of delivery or completion of the applicable settlement cycle, subject to deductions for marketplace commission, TDS, and any applicable charges.

3.3 Dispute Mediation

While the contract of sale is between the Buyer and the Seller, Flexicartor offers dispute mediation services as a value-added service.

  • Buyers and Sellers may raise disputes through the Platform's built-in resolution center for order-related issues.
  • Flexicartor will mediate disputes in good faith by reviewing the relevant information, communications, and evidence provided by both parties.
  • Flexicartor reserves the right to take actions including order cancellations, refund processing, Seller warnings, account suspensions, or de-listing in cases of policy violations.

4. Buyer Terms

Rights, responsibilities, and obligations for buyers

4.1 Account Registration

To place orders on the Platform, Buyers must create an account by providing accurate, current, and complete registration information. Buyers agree to:

  • Provide truthful and accurate personal information during registration, including name, email address, phone number, and delivery address.
  • Maintain the security and confidentiality of their account credentials (username and password) and accept responsibility for all activities under their account.
  • Immediately notify Flexicartor of any unauthorized access or use of their account.
  • Not create multiple accounts for the purpose of abusing promotions, referral programs, or any Platform policies.
  • Be at least 18 years of age or the age of legal majority in their jurisdiction to create an account.

4.2 Ordering

When a Buyer places an order through the Platform:

  • The Buyer is making an offer to purchase the Product from the respective Seller at the listed price and under the conditions specified in the Product listing.
  • An order is confirmed only upon receipt of payment confirmation from the Payment Aggregator and issuance of an order confirmation notification by the Platform.
  • Flexicartor reserves the right to cancel orders in cases of pricing errors, suspected fraud, Product unavailability, or violations of these Terms.
  • Buyers are responsible for verifying Product details, specifications, compatibility, and suitability before placing an order.
  • Delivery timelines are estimates provided by Sellers and/or their logistics partners. Flexicartor shall not be liable for delays in shipping or delivery.

4.3 Payment

All payments for orders placed on the Platform are processed through Razorpay and/or other RBI-licensed Payment Aggregators. Buyers may pay using various methods including credit/debit cards, net banking, UPI, mobile wallets, EMI, Cash on Delivery (where available), and Buy Now Pay Later options.

All payment transactions are secured using industry-standard encryption and PCI-DSS compliance. Flexicartor does not store or have access to Buyer payment card details.

4.4 Buyer Protection

Flexicartor offers a Buyer Protection program to help ensure a safe and trustworthy shopping experience:

  • Non-Delivery Protection: If a confirmed order is not delivered within the estimated delivery window, Buyers may file a complaint for a refund.
  • Significantly Not-as-Described: If a Product received is significantly different from the Seller's listing description, Buyers may initiate a return/refund under the applicable Refund Policy.
  • Unauthorized Transactions: If a Buyer's account or payment method is used without authorization, Flexicartor will cooperate with the Payment Aggregator and relevant authorities.

5. Seller Terms

Obligations and standards for sellers on the Platform

5.1 Seller Registration

To sell Products or Services on the Platform, Sellers must complete the registration and verification process, which includes:

  • Providing valid business identification documents, including GSTIN (for Indian Sellers), PAN, business registration certificate, and bank account details for settlement.
  • Providing accurate business information including legal entity name, registered address, contact details, and authorized representative information.
  • Agreeing to the Flexicartor Seller Agreement, which governs the terms of the Seller's use of the Platform.
  • Completing KYC (Know Your Customer) verification as required by Flexicartor and/or the Payment Aggregator.
  • International Sellers must comply with applicable export/import laws, customs regulations, and provide relevant documentation.

5.2 Product Listing

Sellers are solely responsible for the accuracy, completeness, and legality of their Product listings. Sellers agree to:

  • Provide accurate and complete Product descriptions, specifications, images, and other relevant information.
  • Not list prohibited, restricted, illegal, counterfeit, stolen, or hazardous items.
  • Ensure that all Products comply with applicable safety standards, labeling requirements, and regulatory approvals.
  • Keep inventory and availability information current to avoid order cancellations.
  • Not manipulate search results, ratings, or reviews through artificial or deceptive means.

5.3 Order Fulfillment

Sellers are fully responsible for the timely and accurate fulfillment of all confirmed orders:

  • Sellers must dispatch orders within the committed processing time and provide valid tracking information.
  • Sellers are responsible for proper packaging to prevent damage during transit.
  • Sellers must honor the return, refund, and exchange policies applicable to their Products.
  • Failure to fulfill orders consistently may result in penalties, account suspension, or termination.

5.4 Seller Code of Conduct

  • Maintain honesty, transparency, and professionalism in all interactions with Buyers and the Platform.
  • Respond to Buyer inquiries and disputes within the timeframes specified in the Seller Agreement.
  • Not engage in any form of fraud, misrepresentation, spam, harassment, or manipulation on the Platform.
  • Comply with all applicable laws, including consumer protection, product safety, data protection, tax, and trade regulations.
  • Not attempt to divert transactions off the Platform or solicit Buyers for direct transactions outside of Flexicartor.

6. Payments & Settlements

Payment processing and settlement procedures

6.1 Payment Processing

All payment transactions on the Platform are processed exclusively through licensed and regulated Payment Aggregators (PAs) in compliance with the Reserve Bank of India (RBI) Master Directions on Payment Aggregators and Payment Gateways:

  • The primary Payment Aggregator integrated with the Platform is Razorpay Software Private Limited, a PA authorized by the RBI.
  • All Buyer payments are collected and held by the licensed Payment Aggregator in a designated escrow/nodal account. Flexicartor does not directly collect or hold Buyer funds.
  • Payment processing is subject to the terms, policies, and privacy practices of the respective Payment Aggregator.

6.2 Seller Settlements

Seller settlements are processed by the Payment Aggregator in accordance with the following terms:

  • Settlements are processed on a defined cycle (e.g., T+7, T+10, or as specified in the Seller Agreement).
  • Settlement amounts are calculated as the order value less: (a) Flexicartor marketplace commission, (b) Payment Aggregator processing fees, (c) TDS (Tax Deducted at Source), (d) any applicable shipping charges or adjustments, and (e) any refund or dispute-related deductions.
  • Settlements are credited to the Seller's registered bank account via NEFT/IMPS/UPI or equivalent electronic transfer mechanism.

6.3 TDS (Tax Deducted at Source)

In compliance with the Income Tax Act, 1961, and Section 194-O:

  • Flexicartor shall deduct TDS at the rate prescribed under Section 194-O (currently 1% or as amended) on the gross amount of sales for each Seller.
  • TDS deducted shall be deposited with the Government of India within the prescribed timelines and TDS certificates (Form 16A) shall be issued to Sellers.
  • Sellers are responsible for claiming TDS credits in their income tax returns and for meeting all other tax obligations.

7. Intellectual Property

Ownership and usage rights of Platform and user content

7.1 Platform Intellectual Property

The Flexicartor Platform, including its name, logo, brand identity, website design, user interface, source code, software, algorithms, databases, graphics, icons, and all associated content and materials (collectively, "Platform IP"), are the exclusive intellectual property of Flexicartor Private Limited or its licensors, protected under applicable Indian and international intellectual property laws.

  • No User may copy, reproduce, distribute, modify, create derivative works from, publicly display, reverse engineer, decompile, or otherwise exploit any Platform IP without the prior written consent of Flexicartor.
  • The Flexicartor name, logo, and trademarks may not be used in connection with any product or service that is not authorized by Flexicartor.

7.2 User-Generated Content

Users may submit content to the Platform including product reviews, ratings, images, comments, and feedback:

  • By submitting User Content, you grant Flexicartor a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content.
  • Users represent and warrant that they own or have the necessary rights and permissions to submit such content.
  • Flexicartor reserves the right to remove, edit, or refuse to publish any User Content that violates these Terms.

7.3 Seller Content & IP Compliance

  • Sellers represent and warrant that they have all necessary rights, licenses, and permissions to list and sell their Products on the Platform.
  • Flexicartor maintains an Intellectual Property Rights (IPR) Infringement Reporting mechanism. Rights holders who believe their IP is being infringed may submit a complaint.
  • Upon receiving a valid IP infringement complaint, Flexicartor will take appropriate action including removal of infringing listings and/or suspension of Seller accounts.

8. Disclaimers

Limitations and exclusions of warranties

IMPORTANT: The Platform is provided on an "as is" and "as available" basis. Flexicartor, as a marketplace intermediary, does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised, offered, or sold by third-party Sellers through the Platform.

8.1 Product Quality & Seller Responsibility

Flexicartor expressly disclaims all responsibility and liability for the quality, safety, legality, merchantability, fitness for a particular purpose, or any other aspect of Products and Services listed by Sellers:

  • Each Seller is independently and solely responsible for the quality, authenticity, condition, safety, labeling, packaging, regulatory compliance, and accurate description of the Products they list.
  • Flexicartor does not inspect, test, verify, certify, or physically handle Products listed on the Platform.
  • Any claims, warranties, guarantees, or representations regarding Products are made solely by the respective Sellers.
  • Buyers acknowledge that they purchase Products from third-party Sellers at their own discretion and risk.

8.2 Platform Availability

Flexicartor does not guarantee that the Platform will be available at all times, uninterrupted, error-free, or secure. The Platform may be subject to:

  • Scheduled maintenance, updates, or upgrades that may temporarily affect availability.
  • Unplanned downtime due to technical issues, server failures, network problems, or circumstances beyond Flexicartor's reasonable control.
  • Interruptions caused by force majeure events, including natural disasters, pandemics, government actions, cyberattacks, or telecommunications failures.

9. Limitation of Liability

Extent and scope of Platform liability

To the maximum extent permitted by applicable law, Flexicartor Private Limited, its directors, officers, employees, agents, subsidiaries, affiliates, and licensors shall not be liable for:

  • Indirect, Incidental, or Consequential Damages: Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, or other intangible losses.
  • Seller Actions or Omissions: Any liability arising from the actions, omissions, representations, warranties, or conduct of Sellers, including product quality defects, delivery failures, or misrepresentations.
  • Third-Party Services: Any liability arising from the services, actions, or omissions of third-party service providers, including Payment Aggregators and logistics partners.
  • Unauthorized Access: Any liability arising from unauthorized access to or alteration of User data or transmissions, except where resulting from Flexicartor's gross negligence or willful misconduct.
  • Force Majeure: Any liability arising from events beyond Flexicartor's reasonable control, including natural disasters, pandemics, government orders, wars, civil disturbances, or cyberattacks.
Aggregate Liability Cap: Flexicartor's total aggregate liability to any User for all claims shall not exceed the greater of: (a) the total fees paid by the User to Flexicartor in the twelve (12) months preceding the claim, or (b) One Thousand Indian Rupees (INR 1,000).

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death/personal injury caused by negligence.

10. Governing Law & Jurisdiction

Legal framework and dispute resolution

These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India.

Exclusive Jurisdiction: Any disputes, claims, or proceedings arising out of or relating to these Terms, the Platform, or any transactions conducted through the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Kolkata, West Bengal, India, and the parties irrevocably submit to such jurisdiction.

10.1 Dispute Resolution

Before initiating any formal legal proceedings, the parties agree to attempt to resolve disputes through the following process:

  • Internal Resolution: The aggrieved party shall first attempt to resolve the dispute through Flexicartor's internal dispute resolution mechanism by contacting the Grievance Officer.
  • Mediation: If the dispute is not resolved within thirty (30) days, either party may refer the dispute to mediation.
  • Arbitration: If mediation is unsuccessful, the dispute may be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
  • Consumer Rights: Nothing in this clause shall prevent a consumer from exercising their rights under the Consumer Protection Act, 2019.

10.2 Applicable Laws & Compliance

Flexicartor operates in compliance with applicable Indian laws and regulations, including:

  • Information Technology Act, 2000, and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
  • Consumer Protection Act, 2019, and the Consumer Protection (E-Commerce) Rules, 2020
  • Foreign Exchange Management Act, 1999 (FEMA) - for cross-border transactions
  • Goods and Services Tax (GST) Act and applicable tax regulations
  • Income Tax Act, 1961 (including Section 194-O for TDS on e-commerce)
  • RBI Master Directions on Payment Aggregators and Payment Gateways
  • Digital Personal Data Protection Act, 2023
